NON-DISCLOSURE AGREEMENT (NDA)

As part of the volunteer placement work provided by myself (the Volunteer) to EcoSwell (the Organisation), I understand that I will, directly or indirectly, have access to confidential data, designs, reports, records, or any other information, whether written or unwritten, regardless of its format or support, be it obtained from the Organisation, created or modified through my work actions or obtained from third parties, that is of a confidential or proprietary nature and relating to the Organisation’s or a third party’s business, operations, finances, projects plans, personal information, among others (the “Confidential Information”). In order to preserve the due confidentiality and reserve of the Confidential Information to which I will have access, directly or indirectly, during my period of voluntary work with the Organisation, I agree to assume the following obligations:

  1. Treat all Confidential Information as confidential and strictly private and take all necessary measures to preserve said quality. Likewise, use said Confidential Information for the sole and exclusive purpose of fulfilling the work aims and objectives for which it has been accepted.

  2. Avoid and refrain from copying, displaying, reproducing, distributing, sharing, selling, disseminating, assigning and / or transmitting the Confidential Information to third parties or other people, without prior written authorization from the Organisation.

  3. Refrain and avoid sharing or disclosing any internal work methods or techniques, to which I may have access, with any person, third parties or people.

  4. Preserve the confidentiality of the results of my work or any work of the Organisation. Such information will not be shared.

  5. Communicate immediately and in writing to the Organisation in case I am legally obliged to disclose the Confidential Information, in order for the Organisation to take the actions it deems appropriate.

  6. Adopt all reasonable security measures and precautions to protect Confidential Information, taking responsibility for any disclosure that may occur.

  7. Keep Confidential Information confidential even perpetually after the validity of this Agreement, unless expressly authorised in writing by the Organisation.

Failure to comply with the obligations described in this Non-Disclosure Agreement will give rise to my responsibility for the damages caused as well as any other corresponding action for which I assume full responsibility.
